By accessing and using the services provided by Blue Rain Labs ("we," "us," or "our") through our Client Hub, you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Blue Rain Labs provides digital services including but not limited to web hosting, custom application development, maintenance, and VFX services. The Client Hub allows you to manage your projects, view billing information, and configure services.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. You agree to provide accurate and current information when setting up your account and billing details.
Services are billed according to the subscription plan or project agreement you have selected. Payments are processed securely via Stripe. By providing a payment method, you authorize us to charge the applicable fees to that method. Failure to pay may result in suspension or termination of services. All fees are in the currency specified in your agreement (CAD or USD) and are exclusive of applicable taxes unless stated otherwise.
Unless otherwise agreed in a separate Master Services Agreement (MSA), Blue Rain Labs retains ownership of all underlying code, libraries, and tools used to create your project ("Background Technology"). Upon full payment, you are granted a perpetual, non-exclusive license to use the final deliverables for your business purposes.
To the maximum extent permitted by applicable law, Blue Rain Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption, arising out of or in connection with your use of our services.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved by the courts located in Toronto, Ontario.
We reserve the right to suspend or terminate your access to the Client Hub at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of our services, us, or third parties, or for any other reason.
We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or by posting a notice in the Client Hub. Your continued use of the service after such changes constitutes your acceptance of the new Terms.
